Acceptance. By accessing or using the ForuSage Platform, you agree to be bound by these Terms of Service. If you do not agree, you may not use the Platform.
Platform Description. ForuSage is a digital marketplace where independent travel creators publish and sell original itineraries and guides to travelers through the ForuSage website application.
Section 0: Definitions
Formal (Legal Version)
“Platform” means the ForuSage website, mobile applications, APIs, and all related services operated by ForuSage LLC.
“Guide” and/or “Itinerary” means any digital itinerary, curated experience, or related travel content offered or sold through the Platform.
“Buyer” means any user who purchases access to a Guide.
“Creator” (also “Seller”) means any user who creates, publishes, or sells Guides on the Platform.
“Creator Team” means individuals authorized by a Creator to assist in producing or managing content under that Creator’s account.
“Founding Creator” means a Creator who qualifies under ForuSage’s founding-tier criteria as defined in the Creator Terms.
“Subscription” means a recurring, paid Creator plan providing access to publishing and payout features on the Platform.

Section 1: Overview & Scope

ForuSage LLC (“ForuSage,” “we,” “our,” or “us”) operates an online platform and related services (the “Platform”) that enable independent creators (“Sellers,” or “Creators”) to publish, price, and sell original digital travel itineraries and related content (“Guides”) to end users (“Buyers” or “Travelers”).
By accessing, browsing, or using the Platform, you acknowledge that:
- ForuSage provides a technology service facilitating transactions between independent parties. ForuSage is not a party to any employment or agency relationship between Buyers and Creators.
- ForuSage does not verify, warrant, or endorse any content, its accuracy, or the suitability of any location or recommendation contained therein.
- Use of the Platform is at your own risk. ForuSage makes no representations regarding the availability, reliability, or truthfulness of any content.
- No employment, partnership, joint venture, or agency relationship is created between ForuSage and any Creator, Buyer, or user by virtue of participation on the Platform.

- ForuSage is a place where independent travel creators share and sell their own itineraries and recommendations. We help connect buyers and creators, but we don’t create, verify, or endorse the content. You’re responsible for how you use it, and creators are responsible for what they post.
- We’re not a travel agency, booking service, or employer of creators — we simply host and support the exchange.

Section 2: Eligibility & Account Registration
Formal (Legal Version)
To use the Platform, you must be at least eighteen (18) years old and capable of entering into a binding contract under applicable law.
- Buyers may create one account per individual. Account eligibility and payment authorization are determined by the payment card issuer or provider.
- Creators must maintain an active, verified Stripe Connect account. Stripe Connect serves as the de facto age and identity verification system. ForuSage does not perform separate age verification beyond Stripe’s processes.
- Creator Teams. A Creator account may include multiple authorized team members employed or engaged by the same Creator for purposes of creating or managing content on that Creator’s behalf. The account owner remains fully responsible for all actions of authorized users.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account, whether by you or by authorized users.

- Buyers: one account per person — your payment provider confirms your eligibility.
- Creators: need a verified Stripe Connect account (that’s how your age and identity are confirmed).
- Creator teams: you can have helpers working under your main account, but you’re responsible for everything they do.
- Keep your login details secure and don’t share them outside your team.

Section 3: Creator Independence & Platform Role

- ForuSage is an online marketplace that facilitates transactions between independent parties. Creators act solely as independent contractors, not employees, partners, or agents of ForuSage.
- Creators are entirely responsible for the creation, ownership, accuracy, and legality of their content. ForuSage neither supervises nor controls Creators and does not guarantee the quality, completeness, or reliability of their Guides.
- ForuSage does not provide travel or booking services and does not represent or warrant the safety, condition, or continued operation of any third-party venues or experiences referenced in Guides.
- The use of the Platform shall not be construed as creating a partnership, joint venture, or agency relationship between any user and ForuSage.
- ForuSage serves as the Merchant of Record solely for payment processing and legal compliance purposes; this does not alter the independent contractor status of Creators or confer any employment relationship.

- Every creator on ForuSage runs their own business. They make their own content, set their own prices, and are responsible for what they post.
- ForuSage doesn’t control what creators make, doesn’t arrange trips, and isn’t responsible for places or activities mentioned in guides. We’re the tech platform — not your travel agent or employer.
- ForuSage acts as the Merchant of Record only for payments; this doesn’t change the fact that creators remain independent.

Section 4: Pricing & Payments
Formal (Legal Version)
- Currency and Pricing: All prices are denominated and displayed in United States Dollars (USD). Stripe Connect determines the payout currency based on each Creator’s linked bank account country.
- Minimum Guide Price: No Guide may be listed for less than $9.99 USD.
- Payment Processing: All payments are processed by Stripe, Inc. or its affiliates (“Stripe”). ForuSage LLC is the Merchant and Seller of Record for all transactions on the Platform. Buyers purchase from ForuSage, which processes payments and issues payouts to Creators via Stripe Connect Express. ForuSage holds sale proceeds for seven (7) days before disbursing Creator payouts to allow time to address potential disputes, chargebacks, or fraud inquiries — minimizing operational costs for both ForuSage and participating Creators.
- Stripe Fees: ForuSage covers all Stripe transaction and processing fees; Creators receive their net payout amount as reflected in their Stripe Express dashboard.
- Currency Conversion and Fees: Stripe may apply foreign exchange conversions, transaction fees, or hold times based on the Creator’s banking jurisdiction. ForuSage bears no responsibility for currency fluctuations or banking fees.
- Chargebacks and Disputes: Buyers agree that ForuSage, not Stripe or any financial institution, has sole discretion to evaluate and resolve any refund or chargeback requests.
- Taxes: Prices shown to Buyers include applicable sales or use taxes unless otherwise stated. ForuSage may withhold or remit taxes only where required by law.
- Buyer Statements: Charges to Buyers will appear on their payment statements as “ForuSage LLC.”

- The lowest price for any guide is $9.99 USD.
- ForuSage LLC is the seller and merchant of record, buyers purchase directly from ForuSage, and creators are paid through Stripe Connect Express after a 7-day hold.
- The 7-day hold helps cover any refund or dispute requests, which keeps operating costs lower for everyone.
- ForuSage pays all Stripe fees, so creators receive their payout (minus platform commission) as shown in their Stripe Express dashboard.
- Stripe may convert currencies or charge banking fees depending on where you’re located.
- If there’s a chargeback or refund issue, ForuSage will review and decide the outcome.
- Any taxes that need to be added or collected are handled as required by law.
- Your payment statement will show the charge as “ForuSage LLC.”

Section 5: Refunds & Disputes

- All Sales Final: Because Guides are digital products accessible immediately upon purchase, all sales are final.
- EU/UK Digital Content Waiver: If you reside in the European Union or United Kingdom, you acknowledge that by purchasing a Guide you expressly request immediate access to the digital content and waive any statutory right of withdrawal (cooling-off period) under applicable consumer law once access begins.
- EU/UK Waiver UX Capture: At checkout, EU/UK Buyers will be presented with a clear, affirmative checkbox to (i) request immediate access to the digital content and (ii) confirm they waive the 14-day withdrawal right. ForuSage records timestamped consent for compliance purposes.
- Exceptions: ForuSage may, in its sole discretion, authorize a refund only in limited cases, including:
- Verified fraudulent transactions,
- Material misrepresentation of a Guide, or
- Technical failure preventing access.
- Refund Request Procedure: Buyers must request a refund in writing via support@forusage.com within seven (7) days of purchase and include order details and a brief statement of reason. Requests submitted after seven (7) days may be denied at ForuSage’s discretion.
- Final Determination: ForuSage will review each refund or chargeback request in good faith and issue a decision within a reasonable time frame. ForuSage’s decision shall be final and binding. If a refund is granted, the Buyer’s license to access the Guide is automatically terminated. ForuSage may recover chargeback-related costs from the Creator’s future payouts. The 7-day payout holding period outlined in Section 4 allows ForuSage to identify and begin resolving refund, fraud, or technical-access issues before funds are released to Creators. If a reported issue remains under review at the end of the holding period, ForuSage may temporarily delay payout until the matter is resolved.
- Dispute Mediation: ForuSage may, but is not obligated to, mediate disputes between Buyers and Creators. Mediation does not guarantee resolution or satisfaction for either party.
- Platform Liability: Because ForuSage is the Merchant of Record, all refunds, chargebacks, and related fines are the responsibility of ForuSage. Refund determinations are made solely by ForuSage in accordance with these Terms. Creators acknowledge that any chargeback-related costs may be deducted from future payouts or Creator balances. The 7-day payout holding period outlined in section 4 allows ForuSage to identify and begin resolving refund, fraud, or technical-access issues before funds are released to Creators. If a reported issue remains under review at the end of the holding period, ForuSage may temporarily delay payout until the matter is resolved.

- Because guides are digital and available instantly, all sales are final.
- If you’re in the EU or UK, buying a guide means you get immediate access and agree to waive the normal 14-day refund period for digital content. You’ll see a checkbox confirming this at checkout.
- We only issue refunds in special cases — like verified fraud, major errors in a guide’s description, or a technical problem that stops you from viewing it.
- If you need a refund, email support@forusage.com within 7 days of purchase with your order info and an explanation. We’ll review and let you know our decision. If approved, your access to that guide will end.
- As the Merchant of Record, ForuSage handles refunds, chargebacks, and related fees. If a chargeback happens, the cost may come out of a creator’s next payout. Our 7-day hold on payouts helps resolve these issues quickly and keeps overall fees lower for everyone.

Section 6: Intellectual Property

- Ownership of Platform Materials: The Platform, including all software, user interfaces, design, trademarks, logos, and other proprietary materials, is owned by or licensed to ForuSage LLC. Except for limited access rights expressly granted herein, no license or ownership rights are transferred to any user.
- Creator Content Ownership: Creators retain ownership of the original text, photos, and other content they upload, subject to any third-party rights. By uploading or publishing any content, each Creator grants to ForuSage a worldwide, royalty-free, sublicensable, transferable, irrevocable license to:
- Host, display, reproduce, transmit, and otherwise make the content available on the Platform;
- Use excerpts, images, and metadata for marketing, promotional, or operational purposes; and
- Retain archived copies for security, audit, and legal purposes.
- Buyer License: Upon purchase, a Buyer receives a limited, non-transferable, non-sublicensable license to access the purchased content within the Platform. Buyers may not download, reproduce, distribute, or create derivative works.
- Prohibited Use: Any unauthorized use, scraping, or redistribution of content constitutes infringement and may result in account termination and legal action.
- DMCA Safe Harbor (Designated Agent): If you believe your copyrighted work has been used on the Platform in a way that constitutes infringement, send a notice compliant with 17 U.S.C. §512(c)(3) to ForuSage’s Designated Agent at support@forusage.com (Attention: DMCA). Address: ForuSage LLC – Attn: Legal – DMCA, 1207 Delaware Ave. #225, Wilmington, DE 19806, USA. Upon receipt of a compliant notice, ForuSage may expeditiously remove or disable access to the material. Counter-notifications pursuant to 17 U.S.C. §512(g) may be sent to the same Agent. ForuSage may terminate repeat infringers in appropriate circumstances. ForuSage reserves the right to remove infringing content without prior notice.

- Creators own their guides but give ForuSage permission to host, display, and promote them.
- Buyers get a viewing-only license; they can’t copy, download, or resell the guide.

Section 7: Indemnification

You agree to indemnify, defend, and hold harmless ForuSage LLC, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:
- Your use of the Platform or content;
- Any breach of these Terms;
- Your violation of any law or rights of a third party;
- Intellectual property infringement or misappropriation related to your content;
- Tax or regulatory obligations associated with your activity on the Platform; or
- Any disputes between you and other users, including Buyers, Creators, or third parties.
This obligation will survive termination of your account or this Agreement.

- If your use of ForuSage causes a legal problem for someone else, you agree to cover our costs.
- That includes things like copyright disputes, tax issues, or violations of law. This rule still applies even if your account is later closed.

Section 8: Limitation of Liability

- To the maximum extent permitted by applicable law, ForuSage shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, goodwill, or data, even if advised of the possibility of such damages.
- ForuSage’s total aggregate liability for any claim arising from or related to the Platform or these Terms shall not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the total amount paid by you to ForuSage in the twelve (12) months preceding the event giving rise to the claim.
- These limitations apply to all legal theories, whether in contract, tort, negligence, or otherwise.
- Certain jurisdictions may not allow exclusion of particular damages; in such cases, ForuSage’s liability shall be limited to the extent permitted by law.

- The most we could ever owe you — no matter what — is $100 or what you paid us in the last year, whichever is higher.

Section 9: Disclaimer of Warranties

- The Platform, including all content, data, and functionality, is provided on an “as is,” “as available,” and “with all faults” basis.
- ForuSage disclaims all warranties, express or implied, including but not limited to:
- Merchantability, fitness for a particular purpose, title, and non-infringement;
- Continuous, error-free, or secure operation of the Platform;
- Accuracy or reliability of any Guide or third-party data (e.g., mapping APIs, hours, addresses);
- Suitability or safety of any travel locations or recommendations.
- Users assume all risks arising from use of the Platform or any content obtained through it.

- We do our best to keep ForuSage running smoothly, but we can’t promise it’ll always be perfect.
- We don’t guarantee every guide is accurate or that every place mentioned will be open, safe, or as described. Use your best judgment when traveling.

Section 10: Governing Law & Arbitration

- Governing Law: These Terms, and any dispute or claim arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the State of Michigan, United States of America, without regard to conflict-of-law principles.
- Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or any transaction conducted through it shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules.
- Arbitration Venue and Language: Arbitration shall occur in Oakland County, Michigan, in English, before a single arbitrator.
- Small Claims Exception: Either party may bring an individual action in small claims court for disputes that fall within that court’s jurisdiction.
- Class and Collective Waiver: All claims must be brought on an individual basis; class actions, representative suits, or private attorney general claims are not permitted.
- Opt-Out Provision: You may opt out of this arbitration agreement by sending written notice to support@forusage.com within thirty (30) days of first accepting these Terms. Opting out of arbitration does not affect any other provisions of these Terms, including limitations of liability, governing law, venue, or remedies. It only affects how disputes are resolved.
- Attorneys’ Fees: The prevailing party in any arbitration or related judicial proceeding shall be entitled to recover reasonable attorneys’ fees and costs.
- Severability: If any portion of this arbitration clause is found unenforceable, the remaining provisions shall remain in effect.
- Equitable Relief: Notwithstanding the agreement to arbitrate, either party may seek temporary or permanent injunctive or other equitable relief in any court of competent jurisdiction to prevent or stop (i) infringement, misappropriation, or violation of intellectual property or proprietary rights, (ii) breach of confidentiality, or (iii) circumvention or interference with the Platform.

- Any serious dispute between us will follow Michigan law and go through private arbitration in Oakland County.
- You can take small issues to small claims court, but you can’t join a class-action lawsuit.
- You can opt out of arbitration by emailing support@forusage.com within 30 days of agreeing to these terms. Whoever wins a dispute may recover their legal fees.

Section 11: Force Majeure

- ForuSage shall not be liable for delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, public health emergencies, civil unrest, war, terrorism, embargoes, governmental actions, internet or telecommunications failures, third-party provider outages, or labor disputes.
- Performance under these Terms shall be suspended during such events and resume when commercially practicable. Users acknowledge that Platform access may be temporarily limited during such circumstances.

- Sometimes things happen that are beyond anyone’s control — like natural disasters, pandemics, or internet outages.
- If events like that disrupt ForuSage or prevent us from operating normally, we aren’t responsible for delays or downtime. Service will resume once it’s safe and possible to do so.

Section 12: Data Use & Security

- Data Collection and Processing: ForuSage collects, processes, and stores personal and transactional data in accordance with its Privacy Policy, incorporated herein by reference.
- Security Measures: ForuSage implements industry-standard safeguards, including encryption in transit and at rest, secure access controls, audit logging, and limited employee access to user data. However, no system is entirely secure; ForuSage disclaims liability for unauthorized access beyond its reasonable control.
- User Responsibilities: Users are responsible for maintaining the confidentiality of login credentials and must promptly notify ForuSage of any suspected compromise or unauthorized use.
- Third-Party Processors: Data may be stored or processed through third-party services such as AWS, Stripe, and Fly.io. These vendors operate under their own security and compliance frameworks, including SOC 2 and PCI DSS where applicable.
- Consent: By using the Platform, you consent to the collection, use, and transfer of your data as described herein and in our Privacy Policy.

- We take data security seriously. Your info is encrypted, stored safely, and handled under strict access rules — but no online system can be 100% secure.
- Keep your password safe and let us know right away if you think someone’s accessed your account.
- We work with trusted providers (like Stripe and AWS) who have their own strong security standards.

Section 13: Content Moderation & Flagging

- Monitoring and Enforcement: ForuSage reserves the right, but not the obligation, to monitor, review, or remove any content on the Platform to ensure compliance with these Terms, applicable laws, and community standards.
- Community Flagging: Users may flag any content they believe violates intellectual property rights, contains misinformation, is offensive, or otherwise breaches these Terms. Flagging initiates a moderation review but does not guarantee removal.
- Moderation Procedure: Upon receipt of a valid flag or internal detection, ForuSage may temporarily hide the content and notify the Creator. The Creator will have up to ten (10) business days to provide supporting documentation or clarification. ForuSage will then determine whether the content should remain visible, be edited, or be permanently removed. Any individual may submit a report or flag content for review. ForuSage may, but is not obligated to, acknowledge receipt of a report. While ForuSage reviews all reports in good faith, it is not required to provide individualized responses, explanations, or outcome notifications to the reporting party, and any moderation actions taken are at ForuSage’s sole discretion, subject to its internal policies.
- Repeat Violations: Repeated or severe violations may result in account suspension or termination, forfeiture of payouts related to disputed content, and referral to relevant authorities when legally required.
- Appeals: A Creator may appeal a moderation decision once by submitting a written appeal to support@forusage.com (Attention: Appeals) within ten (10) business days of notification. Appeals are limited to the specific moderation action identified in the notice. Appeals must be based on information reasonably available at the time of the decision. ForuSage will review the appeal and issue a determination. That determination concludes ForuSage’s internal appeals process and is final within the Platform.
- Good Faith Enforcement: ForuSage acts as a neutral host. Removal or moderation of content under this section shall not constitute a breach of contract or obligation to any user.

- ForuSage may review or remove content that breaks our rules or laws.
- Anyone can flag a guide if they believe it’s copied, misleading, or inappropriate. We’ll review the report, temporarily hide the guide if needed, and ask the creator for more info.
- If the issue isn’t fixed or proof isn’t provided within about 10 days, the content may be removed.
- Repeated violations can lead to account suspension or removal. Creators can appeal moderation decisions once by emailing support@forusage.com (Attention: Appeals).

Section 14: Termination & Survival

- Termination by ForuSage: ForuSage may suspend or terminate any account or access to the Platform at any time for violations of these Terms, legal requirements, or protection of the community. ForuSage will provide notice when feasible.
- Termination by User: You may deactivate your account by contacting support@forusage.com.
- Effect of Termination: Upon termination, your right to use the Platform immediately ceases. However, previously sold or licensed content may remain available to Buyers who purchased it.
- Survival: The following sections survive termination: Intellectual Property, Indemnification, Limitation of Liability, Disclaimer of Warranties, Arbitration, Taxes & Reporting, Data Retention, and Community Behavior.
- Data Retention: ForuSage may retain user data for backup, legal compliance, or dispute resolution for a reasonable period after termination.

- We may close or suspend accounts that break the rules or harm the platform. You can also ask to delete your account anytime by emailing support@forusage.com.
- If your account ends, your published guides that have already been bought will stay available to buyers who paid for them.
- Certain legal parts of these Terms — like refunds, IP, and liability — stay in effect even after your account is gone.

Section 15: Publicity & Marketing Use

- You grant ForuSage a non-exclusive, royalty-free, perpetual, worldwide license to use your name (or creator name), guide titles, thumbnails, and non-personal excerpts of your content for the limited purpose of promoting the Platform and its offerings.
- ForuSage will not materially alter or misrepresent your work. Promotional use includes, but is not limited to, featuring guides in marketing emails, platform highlights, press materials, and social media campaigns.
- You may withdraw consent for promotional use at any time by written notice to support@forusage.com (Attention: Legal), except where such materials have already been produced or distributed.

- We may feature your guides or creator name in ForuSage marketing — for example, in newsletters, social media posts, or app highlights.
- We won’t change your work or use it in misleading ways, and you can ask us to stop using it in future promotions if you wish.

Section 16: Technical Operations (Creator Terms)

- System Optimization: ForuSage may automatically process, compress, reformat, or cache Creator content to optimize performance, maintain visual consistency, and ensure efficient delivery across devices. Such modifications shall not materially alter the substance or meaning of the content.
- Infrastructure Dependencies: The Platform operates on third-party cloud and CDN providers. ForuSage is not responsible for temporary disruptions, latency, or outages caused by those providers.
- Content Preservation: While ForuSage uses commercially reasonable efforts to maintain data backups, Creators are encouraged to retain local copies of their content. ForuSage does not guarantee permanent storage or restoration of deleted or lost data.

Section 21: Modifications to Terms and Fees

- Postmark and Migadu for communication and email delivery.

Section 30: Linkage to Creator Terms (Business Mechanics)

If you create, publish, or sell Guides on ForuSage, you must also agree to the ForuSage Creator Terms, which govern:
- Minimum guide price and listing requirements,
- Platform commission rates and subscription fees,
- Founding Creator eligibility and benefits (including non-transferability of status),
- Founding Creator obligations and reversion. Founding Creator status is conditional upon publishing at least three (3) eligible Guides within the first ninety (90) days after publishing privileges are activated. Failure to meet this requirement may result in automatic reversion to a standard Creator tier and loss of any associated commission advantages. ForuSage may reassign reverted Founding Creator slots to other eligible creators at its discretion.
- Content standards and upload limitations,
- Payout rules and suspension policies.
- All Creator payouts are made through Stripe Connect Express, with funds held by ForuSage for seven (7) days post-sale before disbursement. This hold period allows ForuSage to address disputes or chargebacks efficiently, minimizing expenses and ensuring smoother payouts for all parties. ForuSage, as the Merchant of Record, is responsible for refund and chargeback management.
In the event of a conflict between these Terms and the Creator Terms, the Creator Terms shall control for Creator-related activities.
